Welcome to Demi – your AI-powered workplace partner. Demi is an AI-powered guidance platform that helps leaders and teams navigate workplace challenges with practical, evidence-based insight.
These Terms of Service (these “Terms”) govern your access to and use of any websites, applications, and services offered by Demi (“Demi”, “we”, “our”, or “us”) (collectively, the “Services”).
For the purposes of these Terms, “you” or “User” means any individual or entity accessing and/or using the Services.
Please read these Terms carefully before accessing or using the Services. By accessing or using any of the Services in any manner, you agree to be bound by these Terms. If you do not agree to be bound by these Terms, then do not further access or use the Services, including this website.
1. Acceptance of Terms
- You acknowledge that:
- you have read, fully understand and agree to be bound by these Terms;
- you consent to the collection, use and disclosure of your personal information as permitted by our Privacy Policy, available at https://hellodemi.ai/privacy-policy/. Please read the Privacy Policy carefully. By accessing or otherwise using any of the Services, you signify that you have read, fully understand and agree to be bound by the Privacy Policy; and
- Demi reserves the right to communicate with you regarding your use of the Services. You consent to our use of any contact information that you provide in accordance with the terms of the Privacy Policy.
- By accessing or using the Services in any manner, you represent, warrant and covenant that:
- you are at least the age of majority in the province, territory, state or country in which you reside; and
- you are fully able and competent to enter into these Terms.
- Before we allow you to access certain features of the Services, or to participate in certain activities on or through the Services, you may be required to:
- register for an account;
- confirm your acceptance of these Terms and your acknowledgement that you have no ownership rights in the Services and you only have a limited license to use the Services.
- Certain services and activities available through the Services may require you to agree to further terms and conditions. If there is any inconsistency between those terms and conditions and these Terms, these Terms shall prevail, unless the additional terms and conditions expressly state otherwise.
- If you access the Services through an entity or organisation, you may be subject to further terms and conditions. If there is any inconsistency between those terms and conditions and these Terms, these Terms shall prevail, unless the additional terms and conditions expressly state otherwise.
2. Accounts and Access
- When registering for an account, you represent and warrant that any information you provide about yourself is true. You agree to maintain and promptly update your information to keep it true and current.
- Accounts are personal to the individual user. Each user must have their own account and credentials, and account sharing is not permitted (including sharing usernames, passwords, or allowing anyone else to access or use your account). If you are given a username and/or password to access certain features of the Services or to participate in certain activities run on or through the Services, you acknowledge that you are responsible for all activities conducted under that username or password. You agree to take all necessary steps to keep your password confidential and to ensure that no one other than you uses that username or password, and to promptly notify Demi of any unauthorized use of your account.
- If you are given a username and/or password to access certain features of the Services or to participate in certain activities run on or through the Services, you acknowledge that you are responsible for all activities conducted under that username or password. You agree to take all necessary steps to keep your password confidential and to ensure that no one other than you uses that username or password, and to promptly notify Demi of any unauthorized use of your account.
- If Demi detects any misuse or if Demi believes you have violated these Terms, Demi reserves the right to restrict, suspend or terminate your access to all or any part of the Services.
3. Use of the Services
- You represent, warrant and covenant that your use of the Services will be consistent with these Terms and will not violate any applicable law or regulation in the province, territory, state or country from which you are accessing the Services (including any laws relating to the export of data or software).
- If you are an entity or organisation providing access to the Services for your Users, you represent, warrant and covenant that you will be fully responsible for:
- the conduct, use or misuse of such Users;
- supervising and controlling the User’s access to and use of the Services; and
- any violation of these Terms by such Users.
- You agree to not:
- attempt to gain access to any part of the Services that you are not authorized to access;
- when posting any materials to the Services, manipulate identifiers to create the impression that another User posted the materials;
- use the Services to directly or indirectly interfere with, disrupt or damage the Services, the server(s) on which the Services are hosted, the networks connected to them or any other User’s access to the Services;
- adapt, translate, modify, decompile, disassemble or reverse engineer any aspect of:
- the Services; or
- any software or technology used in connection with the Services or downloaded from the Services;
- violate any applicable local, provincial, state, national or international law or regulation (including any laws relating to the export of data or software); or
- collect or store personally identifying information about other Users, for any purposes unrelated to the Services, that are illegal or unlawful or otherwise not permitted.
Violation of these Terms and/or any applicable laws in any manner automatically terminates the rights granted to you herein and obligates you to cease all use of the Services.
- Demi reserves the right, but are not obliged, to monitor activity on the Services for security, compliance, and quality purposes.
4. Uploading Content
- The Services material (the “Content“) includes, but is not limited to, any and all information, content, links, reports, text, data, databases, tools, email, views, graphics, images, photographs, pictures, videos, postings, code, multimedia clips, Java code, interfaces, web pages, files, software, product names, company names, trademarks, logos, trade names, the selection and arrangement of information, or other materials contained on or in the Services. The Content includes materials Demi has contributed to the Services, or others have contributed on behalf of Demi (the “Demi Content”). It further includes materials users of the Services have contributed (the “User Content”).
- You are granted a limited license to use the Content and Services for general purpose subject to these Terms. Any other use of the Content or Services is strictly prohibited and is a violation of these Terms.
- You agree to not:
- modify, reproduce or distribute any of the Content or Services in any manner or form without the prior written consent of Demi;
- sell, license or exploit any of the Content or Services; or
- post, upload, make accessible or transmit on or through the Services any User Content or links to content that:
- is illegal, unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene or invasive of privacy rights;
- promotes illegal activity;
- solicits from other Users any passwords or personal information for commercial or unlawful purposes;
- contains software viruses or any other computer code, files or programs which may interrupt, destroy or limit the functionality of any computer software, hardware or telecommunications equipment or carry out any other similarly destructive activity;
- you do not have a right to post, upload, make accessible or transmit under any law or regulation, or under any contractual or fiduciary relationships; or
- infringes or contributes to the infringement of any intellectual property, industrial or other proprietary rights, protected or protectable, under any law or regulation.
If you violate any of these Terms, your permission to use the Content and Services automatically terminates and you must immediately destroy any copies you have made of the Content.
- Demi reserves the right, in its sole discretion, to reject, refuse to post, remove or block access to any material that is available via or on the Services at any time, without notice and without liability.
- By submitting or sending content to Demi or otherwise making it available for display on or through the Services, you acknowledge and agree to grant Demi a royalty-free, worldwide, non-exclusive license to host, store, reproduce, transmit, and process User Content only to provide, maintain, secure, and support the Services. To improve the Services, Demi may analyze User Content only in de-identified form and only to the extent reasonably necessary to improve functionality, reliability, and user experience. Demi will not publicly disclose your User Content and will not use it for marketing or advertising without your express consent.
- You agree to waive any moral rights to any of your User Content, and that Demi and its successors and assigns may rely on such waiver.
- You represent and warrant to and covenant that:
- you have now and that you will continue to have all necessary rights and authority to grant the licenses set out in Section 4.5; and
- the User Content that you contribute to the Services will not infringe on any third party’s proprietary right.
- You acknowledge and agree that User Content is the sole responsibility of the User. Demi is not responsible for any content related to User Content. Demi does not provide any representations, warranties or guarantees with respect to User Content, its quality or its accuracy. Before using or relying on any User Content, you agree to take reasonable steps to verify its accuracy, completeness or usefulness.
- You acknowledge and agree that Demi is not responsible for any Content that is lost or destroyed for any reason.
5. Using Content
- You acknowledge that the Content provided through the Services may occasionally be incomplete, outdated, or inaccurate. You acknowledge and agree you are using the Content and Services solely at your own risk.
- The Content and Services are provided for informational purposes only and are not intended to provide legal, financial or tax advice and should not be relied upon in that or any respect. The Content and Services are not intended in any way to be a substitute for professional advice. If you are a professional, you should exercise your own professional judgement before deciding to rely on any Content or Services. If you are not a professional, the Content and Services available on or through the Services cannot and should not replace consultation with qualified professionals. If you choose to rely on any of the Content or Services, you do so solely at your own risk.
- We reserve the right to review any Content, but are not obliged to do so. You acknowledge that when we conduct a Content review, the review may not be to your satisfaction.
- Demi assumes no obligation to update the Content or Services or to advise on further developments concerning the Content.
6. Third Party Content and Linked Sites
- Demi, Users or third parties may provide links to resources that are not part of the Services. Demi has no control over such resources. Your correspondence or business dealings with, or participation in promotions of, the parties providing, disseminating, or promoting such external resources are solely between you and these parties. You acknowledge and agree that Demi:
- is not responsible for the availability of external resources;
- does not endorse and is not responsible or liable for, any content, advertising, products, or other materials on external resources or available from them; and
- will not be responsible or liable, directly or indirectly, for any damage or loss of any sort incurred in connection with or as a result of the use of or reliance on content, goods or services available on or through external resources, or through any dealings with any parties providing, disseminating or promoting such external resources.
- Your correspondence or business dealings with advertisers or other third parties accessible on or via the Services are solely between you and these third parties.
- You agree that Demi will not be responsible or liable for any loss or damage incurred as the result of these dealings or of advertisers’ or third parties’ presence on the Services. If you provide any information to a third party (e.g., your contact information or credit card information), it is the third party that collects this information, and not Demi.
6. Intellectual Property
- The Content and the Services contains proprietary content, information and material that is protected by applicable intellectual property and other laws, including but not limited to copyright, trademark or patent or other proprietary rights of Demi. Except as expressly provided, nothing in these Terms or within any of the Services will be construed as conferring any license under any of Demi’s intellectual property rights.
- You agree not to copy, modify, alter, remove, or deface any of the trademarks, service marks, or other proprietary content, information or materials displayed or made available through the Services, or use any of the foregoing for any purpose other than the purpose for which such intellectual property is made available on the Services.
7. Feedback
From time to time, you may choose to ask, make or provide questions, suggestions, ideas, comments, recommendations, feedback, requests or other information relating to the Services (the “Feedback”) to Demi. By providing any Feedback to Demi, you:
- agree that the Feedback is not confidential; and
- assign all rights, title and interest in and to the Feedback to Demi, including all intellectual property rights.
Demi shall be entitled to the unrestricted use and dissemination of any Feedback for any purpose (commercial or otherwise) without acknowledging or compensating you.
8. Availability and Changes
- Demi does not guarantee uninterrupted access.
- Demi reserves the right, in its sole discretion, to change or modify the Content and Services from time to time without providing you prior notice. This includes, but is not limited to, adding or removing functionality or features or changing its name.
- Demi reserves the right, in its sole discretion, to modify these Terms from time to time, and at any time, with or without prior notice to you. When Demi modifies these Terms, Demi will post the updated version of the Terms on the Services together with the date on which modifications were made as the new effective date.
- Demi reserves the right, but is not obliged to, ask you to actively confirm your consent to the revised Terms. If Demi does not do so, but you continue to use the Services after the changes come into effect, you will be deemed to have agreed to abide by the revised Terms. If you do not agree with the revised Terms, discontinue using the Services and instruct Demi to disable any accounts assigned to you.
9. Termination
- These Terms will continue in effect for as long as you use the Services, unless Demi or you terminate earlier in accordance with these Terms. You may terminate your agreement with these Terms at any time by instructing Demi in writing to disable your account for the Services and by discontinuing all use of the Services. In addition to any other termination rights that Demi may have, Demi may terminate its agreement with you if:
- Demi believes you have violated any provision of these Terms;
- Demi is required to do so by law; or
- Demi is no longer making the Services available in the jurisdiction from which you access it.
- Upon the termination or expiration of these Terms, your right to use the Content and Services ends immediately and you must stop using all Content and all Services.
- Those sections which by their nature should survive the termination or expiration of these Terms will survive termination or expiration.
10. Disclaimers
- The Content and Services are provided “as is” and “as available” without any representations, warranties, or conditions of any kind, express or implied.
- Without limiting Section 11.1, Demi specifically disclaims all representations, warranties, covenants and conditions with respect to the Content and the Services, either express, implied or statutory. Demi also disclaims any content, any services or otherwise arising from these Terms including, but not limited to:
- any warranties concerning the availability, accuracy, appropriateness, completeness, timeliness, reliability, usefulness or otherwise of the Content or Services;
- any warranties of title;
- any warranty of non-infringement; and
- any implied warranties or conditions of merchantability, of satisfactory quality or fitness for a particular purpose.
- Without limiting Sections 11.1 and 11.2, Demi does not warrant that any Content or any Service:
- will be available at all times;
- will operate without errors;
- will be corrected when defects or errors are present;
- will be accessible regardless of the hardware or software that you wish to employ to access it;
- is absolutely secure; or
- is free from viruses or other harmful code.
- Without limiting Sections 11.1 through 11.3, Demi does not warrant that communications made using any tools available through the Services will be absolutely secure.
- No oral or written information or advice provided by Demi shall create a warranty.
- All exclusions of responsibility or liability set out in these Terms are made to the fullest extent permitted by law.
11. Limitation of Liability
- To the extent not prohibited by law, in no event will Demi, its officers, affiliates, agents, licensors, employees, suppliers, subcontractors or internet service provider(s) (collectively, “its Representatives“) be liable to you or any third party for any personal injury, or any direct, indirect, incidental, special or consequential damages whatsoever arising from or relating to any content or services, or these terms. This includes, but is not limited to, lost revenue, lost profits, lost or damaged data or other commercial or economic loss, whether based in contract, tort (including negligence) or any other theory of liability. The limitation will apply even if Demi or its Representatives have been advised or should have known of the possibility of such damages.
- In no event will Demi or its Representatives be liable to you or any person with respect to damages incurred because of services or goods received through or advertised on the Services or links provided on the Services. Demi is not liable for the acts, omissions or conduct of the Services’ third-party users, or any of the Services’ sponsors or advertisers.
- Without encryption, the internet is not a secured medium and Demi cannot ensure your privacy. Internet email can be intercepted and forged. Demi is not responsible for any damages you or any third party may suffer as a result of transmitting confidential information to any third party through the internet email links provided on the Services. Demi is not responsible for any errors or changes made to transmitted information. Should you decide to transmit information using internet email links, you do so solely at your own risk.
- Without limiting Sections 12.1 through 12.3, the limit on the total cumulative liability of Demi (or that of its representatives) to you or any person will not exceed CAD$1000.00 for any claims arising from or relating to any Content and any Services or these Terms.
- The limitations in Section 12.1 through 12.4 will apply regardless of the causes or circumstances giving rise to the claim. They will survive material breaches of these Terms.
12. Indemnification
You agree to indemnify Demi and its affiliates, officers, directors, employees, agents and representatives and hold them harmless from any and all claims, losses, liabilities, damages, suits, actions, penalties, demands, costs, and expenses, including legal fees, arising from or relating, directly or indirectly, to:
- any User Content that you contribute to the Services;
- your use or misuse of any Content or Service;
- any use of any account or password associated with you, regardless of whether you have authorized this use;
- your breach of these Terms; and
- your breach of any law or regulation, or any rights of any person or entity, including the infringement of any intellectual property rights.
13. Remedies
If you violate these Terms or Demi’s other right, Demi reserves the right to pursue any and all legal and equitable remedies against you, including, without limitation, restricting, suspending or terminating your access to all or any part of the Services.
14. Governing Law
These Terms, your use of the Content and Services and all related matters will be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein without regard to the conflict of laws provisions of any jurisdiction. You agree to submit to the exclusive jurisdiction of the courts of the Province of Ontario for the conduct of any legal proceeding arising from, or related to, these Terms and your use of the Content and Services.
15. No Rule of Construction
No provision of these Terms will be interpreted against any party merely because that party or its legal representative drafted the provision.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other related agreements and documents, constitute the complete and exclusive agreement between you and Demi with respect to your use of the Content and Services.
17. Severability
If any provision of these Terms is held to be invalid by a court of competent jurisdiction, then that provision will be enforced to the extent permissible, and all other provisions will remain in effect and enforceable by the parties.
18. Waiver
No term of these Terms will be deemed to be waived by reason of any previous failure to enforce it. No term of these Terms may be waived except in writing and signed by the party waiving enforcement.
19. Assignment
Demi may assign these Terms, in whole or in part, at any time with or without notice to you. You may not assign or otherwise transfer your rights or delegate your obligations under these Terms, either in whole or in part, without Demi’s prior written consent.
20. Successors and Assigns
These Terms are binding upon you, your heirs, executors, beneficiaries, successors and assigns.
21. Notices
Demi may provide notices by email or posting within any of the Services. Any notice that you wish to give to Demi pursuant to these Terms shall be in writing and sent to Demi at the address listed below.
